Terms and Conditions of Sale and Delivery valid from 01.07.2019

  • Offers and deliveries are subject to the following terms and conditions unless other agreements have been expressly confirmed in writing. Any conflicting terms and conditions of the purchaser shall not be binding for us, even if we do not expressly object to them. These terms and conditions shall remain legally binding even if individual provisions are invalid.
  • Prices are subject to change and apply ex works. In the event of changes in the cost situation, we reserve the right to adjust prices accordingly. The current price list published on the Internet shall apply.
  • Offers based on incorrect assumptions are not binding for us. Telephone or verbal orders or agreements shall only be valid after our written confirmation. For all springs and standard items listed in the catalog, we reserve the right of prior sale until the order has been accepted.
  • Delivery times are to be regarded as approximate. Partial deliveries are permitted. Penalties for delay or claims for damages due to missed delivery dates are excluded unless expressly agreed in writing. Operational disruptions caused by unforeseen events release us from agreed delivery and deadline obligations.
  • Delivery is made – even in the case of carriage-paid shipments – at the expense and risk of the purchaser. In the event of transport damage or loss, claims for compensation must be made against the commissioned transport company. Shipment is carried out at our discretion in the most cost-effective manner via postal service or parcel carrier.
  • Custom-made products may be over- or under-delivered by up to 15% of the ordered quantity.
  • Packaging will be charged at cost and will not be taken back.
  • Complaints of any kind must be submitted in writing within 8 days after receipt of the goods. Complaints made later or in any other form shall be invalid. Only technical defects of the delivered parts can be claimed. For goods that demonstrably do not comply with the technical delivery specifications and have not been further processed, we will provide replacement or issue a credit note. Returns will only be accepted after prior agreement. Non-receipt of goods must be reported within 8 days from the invoice date. Our obligation to pay damages, regardless of the legal basis, is limited to the typical contractual risk (generally the invoice value of the directly affected goods).
  • Payments are to be made as follows: In Euro, within 30 days from the invoice date net, or within 14 days with a 2% cash discount. In the event of late payment, the buyer shall pay interest at a rate of 2% above the respective discount rate of the German Federal Bank (Bundesbank). We may make delivery dependent on advance payment or security if, after order confirmation, it becomes apparent that our payment claim is at risk. We may withdraw from a confirmed order if the buyer is in default with obligations arising from previous deliveries.
  • Our retention of title shall apply until full settlement of all claims, including any ancillary costs arising from late payment, for delivered goods. This also applies in the event of transfer to subcontractors, pledging, or transfer by way of security.
